By signing the PRC Council Membership Application, I am confirming that I fully understand the terms and conditions of acceptance as a Member of Professional Realty Council, Inc. (PRC).

If, at any time during my membership with PRC I have or choose to have licensees or non-licensees who operate under my supervision or as part of my team or office, I understand that I am fully responsible for their compliance with PRC policy as outline herein and as updated by PRC.

I understand that while only I will be known as the PRC Council Member, ALL of my Team Members (if applicable) MUST be PRC CERTIFIED AGENTS.

I understand that the benefits of being a PRC Council Member are only available to REALTORS® who have been accepted by and are in good standing with PRC.

MEMBERSHIP REQUIREMENTS

REALTORS® desiring to become a PRC Council Member must complete the PRC Council Membership Application.

REALTORS® desiring to become PRC Council Members must pass a comprehensive background check and verification to help PRC screen applicants and approve their Membership With Confidence™. In addition to the requisites for membership on the PRC Council Member Application, I will, upon request, provide my written approval for PRC to conduct a Background Check that may include but is not limited to a:

Motor Vehicle History Report / Driving Records
First Alert
Criminal Federal Court Search (Nationwide)
State Sexual Offender Registry
Liens and Judgments
Employment Verification Plus
Professional License Verification

Civil Federal Court Search (Nationwide)
Civil Superior Court Search

In addition to complying with the requirements shown on the application, PRC will limit the number of Council ‘Seats’ (territories) awarded to ONE PER EACH 5,000 Households in a Community (Town).
PRC maintains an ongoing survey system. Therefore, as part of their requirement to retain their PRC Council Seat, Council Members must maintain their CSI (Customer Satisfaction Index).

I am giving PRC my permission to conduct independent surveys with the clients I serve in order to determine their satisfaction with me as their REALTOR®. I will provide PRC with the information necessary to facilitate its survey process. If I fall below the PRC Standard, I understand that PRC will give me an opportunity to ‘cure’ any service issues brought to my attention. I understand that my PRC Council Membership is subject to cancellation should my CSI (Customer Service Index) score fall beneath the propagated standard set each year by PRC.

I understand that PRC Membership has established specific STANDARDS that must be met in order to maintain ongoing membership. I understand that my membership requires that I must meet specific minimum standards as promulgated by PRC to meet the promises of its Brand.

I understand that during the approval process, I may also be asked to supply letters from at least three clients and my managing Broker. I realize that PRC must have this information in order to fulfill its Consumer BRAND Promise and satisfy its qualification requirements.

I represent that I have been licensed for a minimum of three consecutive years prior to my application date with PRC. I also represent that I have lived in the general area of the community I will be representing for PRC for at least three years. (I understand that PRC may authorize waivers to these requirements in special circumstance. For instance, certain education or prior careers might provide reason for waiver. In any case, any waiver must be approved by an authorized Representative of PRC.)

In addition, but not limited to, I may have a telephone and/or "in person" interview with a PRC Membership Specialist and / or Regional Director for the purposes of understanding how my values align with the PRC BRAND and to answer any outstanding questions regarding my formal application.

I am aware that my opportunities for success are dependent upon my full utilization and long term commitment and use of the PRC BRAND, marketing, advertising, public relations and Coaching Program and failure to utilize program components as prescribed may reduce my chances of success.

I understand that the ‘PRC Scholarship’ and Quiet Hero’s™ Awards’ are financially managed by a third-party non-profit entity and are operated within federally mandated laws and guidelines and is fully IRS compliant. All donations are fully tax deductible as the PRC Foundation is fully 501-C Non Profit compliant. PRC welcomes any questions and will be happy to provide specific information as may be requested IN WRITING (see address below).

I understand that I may be establishing strategic-partnerships with various national and local companies that provide an array of real estate related services including but not limited to title, settlement / escrow, third-party relocation, home inspections, home warranty and mortgage. Each of these vendor relationships can become a PRC Approved Provider and offers various financial benefits to consumers through the PRC Private Client™ Program.
(These programs are 100% RESPA compliant. Other than an advertising fee to place the Approved Provider on the Council Member Page of the PRC Website, no money is paid to PRC or its Council Members for the referral of business. All money is given as a PRC Benefit to the consumer and shows as a credit on the buyer or sellers HUD-1.)

I understand that in order for me to offer certain PRC Proprietary Programs (i.e., The PRC Certified Home™, The PRC Private Client™, PRC Scholarship and PRC Quiet Hero™) it will be necessary for me to use ONLY PRC Approved Providers™.

I understand that I can be a PRC Council Member™ and NOT participate in any of these proprietary programs.

While coaching to support the PRC Brand is a free benefit of my PRC membership, I understand that I may incur charges from my telephone service provider when I participated in the weekly PRC Webinar.

Additionally, I am paying for my PRC Membership and License with a credit or debit card. As such, I am representing that I am an authorized user of the credit card number I provide PRC. I understand and fully agree that I will be charged per the invoice amount(s). I agree to the terms, conditions, and limitations of this contract and my cardholder agreement.

If the credit / debit card that I am using for my PRC Membership expires or is unable to be charged during the term of my membership and obligations to PRC, I will promptly provide PRC with an alternative card or payment subject to the approval of PRC.

I understand that after I pay my annual PRC membership fee, there is no additional cost for Membership Benefits (marketing materials, advertising materials, public relations, coaching, etc.) I understand that EACH 12-Month Membership and Licensing Fee is fully earned by PRC upon joining and each annual renewal.

I understand that PRC has one established annual membership fee per classification (Individual, Team or Office), but, may offer substantial discounts depending on a) how I choose to pay for my membership and b) certain 'affiliate' relationships I may have. I have discussed each option with an authorized PRC representative and have chosen the best option available to me.

I understand that due to increases in cost of living, added programs, third party vendor costs or other circumstances beyond the control of PRC, membership renewals fees will be subject to the then current PRC membership fee and program. PRC will notify me of any changes at the time of my renewal.

In order to enjoy the full value of my PRC Council Membership, I understand that:

1) Initially, my membership commitment is one (1) year. After the initial year and providing my Membership is in good standing with PRC, I may renew my membership by paying the then current annual membership fee and abiding by the then membership standards as set forth by PRC.

2) I understand that once PRC has accepted me as a Member I will be charged on the first day of membership activation via the credit card submitted with my application.

3) I agree to auto-billing at intervals commensurate with my billing option. All charges will be made to the credit / debit card I have provided. If PRC is not able to charge the credit / debit card I have provided, I will provide PRC with another credit / debit card or will pay any and all amounts for which I am obligated to PRC by check, money order, certified funds or wire transfer upon demand by PRC.

4) I understand that all PRC Membership Fees are earned at the time of joining or renewal and are, therefore, non-refundable.

5) I understand that if I have made ANY other payment arrangements with PRC, such arrangements MUST be made in writing and executed by myself and an Authorized Representative with PRC.

6) I understand that part or all of the Background Check as outlined herein may be conducted by or through AgentClear™ and hereby grant my permission to PRC and AgentClear™ to conduct such Background Checks as either entity deems necessary.

7) I understand that obtaining the CSCA® (Certified School and Community Advisor®) real estate designation is a requisite to PRC Membership and is included in my annual PRC Membership at no additional charge.

Should I choose to cancel my membership with PRC, my rights to continue as a CSCA® member is dependent upon my continued payment to CSCA® under their then current terms and conditions of membership. I understand that CSCA® is a provider to PRC and, therefore, I release PRC from any liability or any claims as a result of its affiliation with CSCA®.

I understand that if I choose to ONLY become a CSCA® Designee, I will NOT be able to access ANY PRC Benefits that are available to a PRC Council Member. Becoming a CSCA® Designee does NOT automatically guarantee the Designee a PRC Council Membership, but will give said Designee a ‘PRIORITY’ should a Council Seat become available in the community desired. 7) I will cause my picture and contact information to be submitted to PRC for display on the appropriate PRC Authorized Web Page(s) within five business days after I have been notified of my approval. I hereby give PRC my permission to use my image and name in its marketing.

8) I understand that PRC has promulgated certain orientation and training information which is necessary to effectively understand and execute my role as a PRC Council Member™ and Licensee. I understand that I will NOT be permitted to fully utilize the logos, websites, or any other PRC Benefits until such training is fully completed.

Therefore, I will adhere to the timetable as set forth by PRC to complete the initial orientation and training as necessary.

9) I understand that some of the data and information and programs currently or in the future utilized by PRC is aggregated by third-party vendors and purchased by PRC. As such, PRC will always make every effort to correct errors and update information. However, PRC may be dependent upon such third-party vendors for final resolution. PRC assumes NO LIABILITY, consequential or otherwise for the acts or deficiencies of any third-party vendors.

I understand that my PRC Membership and License Benefits and all other programs and services offered by PRC may be added to, changed, modified or eliminated as deemed necessary solely at the discretion of PRC.

10) Each PRC Membership License is transferable providing the Member desiring to transfer such license a) is current with respect to all fees due PRC and b) is a member in good standing with PRC. All transfers must be done in accordance with those certain transfer policies as promulgated by PRC.

Further, I understand that each proposed new member licensee to whom I wish to transfer my membership and license must be approved by PRC and such transfer must be in accordance with the then current fees, polices and standards as promulgated by PRC. Transfer will be subject to a) $1295.00 set up fee and b) an on-boarding and training fee equal to 25% of the then current Annual Membership Fee.

11) I understand that the benefits included with a PRC Council Membership™ and License may be only used by the current approved REALTOR® who has accepted and agreed to these terms and conditions.

12) I understand that only Council Members who are "paid current" and in good standing as outlined herein are permitted to receive referral fees for ongoing relocation business established by the PRC Council Member™ with a PRC Approved Provider™ or participate in the PRC Scholarship™ and Quiet Hero™ Programs, the weekly PRC Webinar and to receive and/or use the PRC Brand affiliation, services, logos and trademarks.

Council Members not in good standing found to be utilizing brand, service, logo and trademarks will be prosecuted under the full extent of the law.

Should my PRC Membership and License be terminated or for any reason I discontinue my Member Benefits during my membership period, I understand that I MUST cease and desist representing myself as a PRC Council Member™, License and Local Partner™ and I agree to immediately cease using any and all PRC trademarks, systems and marketing materials.

13) I understand all PRC coaching, marketing themes, marketing programs, advertising and public relations initiatives including but not limited to the PRC Quiet Hero™ and Scholarship Awards are owned by PRC and are available to be used by me providing I am a Member In Good Standing with PRC.

For the protection of other PRC Council Members and to maintain the integrity of the PRC Brand, trademarks and intellectual property, my failure to use same within PRC guidelines and policy can cause undue harm to PRC. This shall be deemed to include sharing or dissemination of proprietary information or materials in any form with anyone outside of the PRC network.

Therefore, I understand that PRC will enforce and prosecute authorized and unauthorized misuse of its marks and property to the fullest extent of the law. I have also read the General Terms of Use on this website.

14) I understand that my PRC Council Membership includes select PRC proprietary materials. PRC will provide me with ‘camera ready’ materials that I may need to personalize, print and distribute at my expense.

Through various PRC strategic partnerships, I may be able to upgrade my PRC Basic Package to include a full array of custom marketing materials and a personal image makeover that includes but is not limited to print, web and mass media. Any cost associated with such an upgrade will be at my expense and negotiated at terms acceptable to me and that specific PRC Strategic Partner.

15) I understand that should a dispute arise concerning any PRC Strategic Partner, the polices of that specific strategic partner shall prevail and I will fully release and hold harmless PRC from any liability or claim associated with such dispute.

16) Notwithstanding the terms and conditions herein, I understand that I may cancel my PRC Membership, without recourse, at any time providing that I must cancel in writing BY FAX. (Be certain to state that you wish to cancel and include the reason for cancellation, then, sign and fax the cancellation form back to PRC at: 949-606-8500.)

Should my PRC Membership be canceled for cause or without cause by me or PRC, I understand that I will immediately cease and desist representing myself as a PRC Council Member and any affiliation with or use of the PRC Brand, trademarks and intellectual property, my failure to use same within PRC guidelines and policy can cause undue harm to PRC. Therefore, I understand that PRC will enforce and prosecute authorized and unauthorized use of its marks and property to the fullest extent of the law.

I understand that I will receive a confirmation that will cancel my PRC Member Benefits within 3 Business Days of requesting cancellation. (Phone call and email cancellation notifications are not an acceptable and valid cancellation request, and will not be considered or fulfilled.)
